Your use of the VillagemyCity and services and tools are governed by the following terms and conditions (hereinafter “Terms of Use”) as applicable to the VillagemyCity including the applicable policies which are incorporated herein by way of reference. For the purpose of these Terms of Use, wherever the context so requires “You” or “User” shall mean any natural or legal person who has agreed to become a member/buyer on the Website by providing Registration or when availing of our services. VillagemyCity allows the User to surf the Website or making purchases without registering on the Website. The term “We”, “Us”, “Our” shall mean Vidi Meth Digital Services (OPC) Private Limited.
By mere accessing or using of the Website, users signify they have carefully read, understood, agree, without limitation or qualification to be bound by these Terms of Use. When user transact or avail any of the services provided by Us through the Website or browse through the website, (e.g. Product Reviews, Seller Reviews), in present or future, users accept and agree to be bound of these Terms of Use, rules, guidelines, policies, terms, and conditions of VillagemyCity’s service. The Website is an electronic platform in the form of an electronic marketplace and an intermediary that (a) provides a platform for Users (who are sellers) to advertise, exhibit, make available and offer to sell various Products to other Users (who are buyers / customers), and (b) a platform for such other Users to accept the offer to sell of the Products made by the sellers on the Website and to make payments to the sellers for purchase of the Products, and (c) services to facilitate the engagement of buyers and sellers to under commerce on the Website, and (d) such other services as are incidental and ancillary thereto. The Services are offered to the Users through various modes which may include issue of coupons and vouchers that can be redeemed for various Products.
VillagemyCity does not warrant that Product description or other content by VillagemyCity is accurate, complete, reliable, current or error-free and assumes no liability in this regard.

Please note: various underlined words and phrases are hyperlinked to various rules and policies on the Website. By accepting this User Agreement, User also agrees that your use the website by the user agreement, privacy policy and other rules and policies posted on those websites.
VillagemyCity is the next generation of online classifieds. We act as a venue to allow our users who comply with these Terms to offer, sell and buy products and services listed on the Platform. The actual contract for sale is directly between the sellers and buyers. VillagemyCity is not a traditional auctioneer. While we may provide pricing, shipping, listing, and other guidance in our Services, such guidance is solely informational and you may decide to follow it or not. Also, while we may help facilitate the resolution of disputes through various programs, VillagemyCity has no control over and does not guarantee the existence, quality, safety or legality of items advertised; the truth or accuracy of users’ content or listings; the ability of sellers to sell items; the ability of buyers to pay for items; or that a buyer or seller will actually complete a transaction or return an item.
The user should have completed 18 years of age and be competent to enter into a contract under Indian contract law.The Services are not available to minors under the age of eighteen (18) or to any Users suspended or removed from the VillagemyCity system by VillagemyCity for any reason whatsoever. If you are a minor i.e. under 18 years of age who is intending to avail the services of the Website should do so through his or her legal guardian in accordance with applicable law. VillagemyCity reserves the right to terminate your membership and / or refuse access to use the Services offered at the Website to new Users or to terminate access granted to existing Users at any time without according any reasons for doing so. You shall not have more than one active Account (defined hereunder) on the Website. Additionally, You are prohibited from selling, trading, or otherwise transferring Your Account to another person.
You may access and use the Website, You shall be responsible for maintaining the confidentiality and security of the Account Information, and are fully responsible for all activities that occur under Your log-in ID (Display Name) and Password. You agree to;
i. immediately notify VillagemyCity of any unauthorized use of Your Account Information or any other breach of security, and ii. ensure that You exit from Your Account at the end of each session.
VillagemyCity cannot and will not be liable for any loss or damage arising from Your failure to comply with this section. You may be held liable for losses incurred by VillagemyCity or any other user of or visitor to the Website due to authorized or unauthorized use of Your Account as a result of Your failure in keeping Your Account Information secure and confidential.
You shall ensure that the Account Information provided by You in the Website’s registration form is complete, accurate and up-to-date. Use of another user’s Account Information for availing the Services is expressly prohibited.
If You provide any information that is untrue, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the this Terms of Use, We shall have the right to indefinitely suspend or terminate or block access of your membership on the Website and refuse to provide You with access to the Website.
If Website is used from outside India, it is entirely at the user’s risk. The Website makes no representation that its contents and other features are available or otherwise suitable for use outside India. If the Website is used and accessed from or in locations outside India, the user shall ensure that the usage of the Website is legal and valid under applicable law of the user’s location. The user agrees to undertake all liabilities, responsibilities and consequences under applicable law in connection with the use of the Website from or in any location outside India. The user accessing the Website from any location outside India agrees and consents to enter into separate or additional terms as may be required by VillagemyCity at any time.
When You use the Website or send emails or other data, information or communication to us, You agree and understand that You are communicating with Us through electronic records and You consent to receive communications via electronic records from Us periodically and as and when required. We may communicate with you by email or by such other mode of communication, electronic or otherwise.
Platform for Transaction and Communication
Platform for Communication the Website is only a venue where Users may meet and interact with one another for their transactions. VillagemyCity is not and cannot be a party to or control in any manner any transaction between two Users of the Website.
Consequently: i. All commercial/contractual terms are offered by and agreed to between Buyers and Sellers alone. The commercial/contractual terms include without limitation price, shipping costs, payment methods, payment terms, date, period and mode of delivery, warranties related to products and services and after sales services related to products and services. VillagemyCity does not have any control or does not determine or advise or in any way involve itself in the offering or acceptance of such commercial/contractual terms between the Buyers and Sellers.
ii. VillagemyCity does not make any representation or Warranty as to specifics (such as quality, value, saleability, etc) of the products or services proposed to be sold or offered to be sold or purchased on the Website.
iii. VillagemyCity does not implicitly or explicitly support or endorse the sale or purchase of any products or services on the Website. VillagemyCity accepts no liability for any errors or omissions, whether on behalf of itself or third parties.
iv. VillagemyCity is not responsible for any non-performance or breach of any contract entered into between Buyers and Sellers. VillagemyCity cannot and does not guarantee that the concerned Buyers and/or Sellers will perform any transaction concluded on the Website.
v. VillagemyCity shall not and is not required to mediate or resolve any dispute or disagreement between Buyers and Sellers.
vi. VillagemyCity does not make any representation or warranty as to the item-specifics (such as legal title, credit worthiness, identity, etc) of any of its Users. You are advised to independently verify the bonafides of any particular User that You choose to deal with on the Website and use Your best judgment in that behalf.
vii. VillagemyCity does not at any point of time during any transaction between Buyer and Seller on the Website come into or take possession of any of the products or services offered by Seller nor does it at any point gain title to or have any rights or claims over the products or services offered by Seller to Buyer.
viii. At no time shall VillagemyCity hold any right, title or interest over the products nor shall VillagemyCity have any obligations or liabilities in respect of such contract entered into between Buyers and Sellers. VillagemyCity is not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered.
ix. The Website is only a platform that can be utilized by Users to reach a larger base to buy and sell products or services. VillagemyCity is only providing a platform for communication and it is agreed that the contract for sale of any of the products or services shall be a strictly bipartite contract between the Seller and the Buyer. At no time shall VillagemyCity hold any right, title or interest over the products nor shall VillagemyCity have any obligations or liabilities in respect of such contract. VillagemyCity is not responsible for unsatisfactory or delayed performance of services or damages or delays as a result of products which are out of stock, unavailable or back ordered.
x. You shall independently agree upon the manner and terms and conditions of delivery, payment, insurance etc. with the seller(s) that You transact with. Disclaimer: Pricing on any product(s) as is reflected on the Website may due to some technical issue, typographical error or product information published by seller may be incorrectly reflected and in such an event seller may cancel such your order(s).
xi. You release and indemnify VillagemyCity and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions of the Users of the Website and specifically waive any claims that you may have in this behalf under any applicable law. Notwithstanding its reasonable efforts in that behalf, VillagemyCity cannot take responsibility or control the information provided by other Users which is made available on the Website. You may find other User’s information to be offensive, harmful, inconsistent, inaccurate, or deceptive. Please use caution and practice safe trading when using the Website.
Please note that there could be risks in dealing with underage persons or people acting under false pretence.
User can use and access the Website is free of charge. VillagemyCity does not charge any fee for browsing and buying the products on the Website. VillagemyCity reserves the right to change its Fee Policy from time to time, changes to the Fee Policy shall be posted on the Website notifying the users in advance. VillagemyCity reserves its right to charge the users for the use of the Website and provision of the services through the Website and all taxes as per applicable Indian law. All fees shall be quoted in Indian Rupees.
YOU ARE REQUESTED TO HONOUR YOUR PAYMENT OBLIGATIONS TO THE COMPANY.
i. Payments for the services offered by the Platform shall be on a 100% advance basis. The payment for service once subscribed to by you is not refundable and any amount paid shall stand appropriated. Refund, if any, will be at the sole discretion of the Company.
ii. User hereby irrevocably accepts to receive the tax invoice as soft copy through emails.
iii. Notwithstanding anything contained in any other agreement or arrangement, by whatever name called, the performance obligation of the Company (service provider) is to provide access of its on-line portal to the customer for the duration of the subscription period & reference to any usage, by whatever name called or any other performance obligation, if any, is to provide the upper limit for consumption, which by itself, does not create any additional performance obligation upon the Company.
iv. In the event of any suspension or termination of services on account of non-compliance of these Terms of Use, any payment made to the Company by you shall stand forfeited with immediate effect.
v. While availing any of the payment method/s available on the Website, we will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to You due to:
a. Lack of authorization for any transaction/s, or
b. Any payment issues arising out of the transaction, or
c. Exceeding the preset limit mutually agreed by You and between “Bank/s”, or
d. Decline of transaction for any other reason/s
vi. All payments made against the purchases/services on Website by you shall be compulsorily in Indian Rupees acceptable in the Republic of India. Website will not facilitate transaction with respect to any other form of currency with respect to the purchases made on Website.
vii. The User acknowledges and agrees that Company/Platform, at its sole discretion and without prejudice to other rights and remedies that it may have under the applicable laws, shall be entitled to set off the amount excess paid by a subscriber/user against any amount(s) payable by User to Company under any other agreement or commercial relationship towards other products/services. The Company gives no guarantees of server uptime or applications working properly. All is on a best effort basis and liability is limited to refund of amount only.
viii. You understand, accept and agree that the payment facility provided by villagemycity is neither a banking nor financial service but is merely a facilitator providing an electronic, automated online electronic payment, receiving payment through collection and remittance facility for the Transactions on the villagemycity Website using the existing authorized banking infrastructure and Credit Card payment gateway networks.
ix. Villagemycity reserves the right to refuse to process Transactions by users with a prior history of questionable charges including without limitation breach of any agreements by user with villagemycity website or breach/violation of any law or any charges imposed by Issuing Bank or breach of any policy.
x. Users, buying the products online are redirected to third party gateways for completing payment transactions. These transactions happen on third party network and hence not controlled by Company.
xi. A User through his user identification and shall be solely responsible for carrying out any online or off-line transaction involving credit cards / debit cards or such other forms of instruments or documents for making such transactions and Company assumes no responsibility or liability for their improper use of information relating to such usage of credit cards / debit cards used by the subscriber online / off-line
xii. The Company shall not be liable for any loss or damage sustained by reason of any disclosure (inadvertent or otherwise) of any information concerning the user’s account and / or information relating to or regarding online transactions using credit cards / debit cards and / or their verification process and particulars nor for any error, omission or inaccuracy with respect to any information so disclosed and used whether or not in pursuance of a legal process or otherwise
xiii. The User or customer shall be required to promptly provide copy of TDS certificate to the Company as mandated under law for tax deducted at source from the payments made to the Company. Any loss on account of non availment or disallowance of such TDS credit in view of any lapse as per this clause or as required under applicable law on the part of User or customer shall entitle the company to seek reimbursement or indemnification
xiv. User shall comply with all the applicable laws (including without limitation Foreign Exchange Management Act, 1999 and the rules made and notifications issued there under and the Exchange Control Manual as may be issued by Reserve Bank of India from time to time, Customs Act, Information and Technology Act, 2000 as amended by the Information Technology (Amendment) Act 2008, Prevention of Money Laundering Act, 2002 and the rules made there under, Foreign Contribution Regulation Act, 1976 and the rules made there under, Income Tax Act, 1961 and the rules made there under, Export Import Policy of government of India) applicable to them respectively for using Payment Facility and villagemycity Website.
xv. All Valid Credit/Debit/Cash Card/and other payment instruments are processed using a Credit Card payment gateway or appropriate payment system infrastructure and the same will also be governed by the terms and conditions agreed to between the Buyer and the respective Issuing Bank and payment instrument issuing company.
xvi. All Online Bank Transfers from Valid Bank Accounts are processed using the gateway provided by the respective Issuing Bank which support Payment Facility to provide these services to the Users. All such Online Bank Transfers on Payment Facility are also governed by the terms and conditions agreed to between Buyer and the respective Issuing Bank.
The user agrees and undertakes that the reviews, comments and other information provided or posted or uploaded on the Website are not false, incomplete, distorted, manipulated, fraudulent or misleading.
The user agrees, undertakes and confirms that when using or accessing the Website shall be strictly governed by the following binding principle;
1. User will not to host, display, upload, modify, publish, transmit, update or share any information (objectionable contents) that :
i. belongs to another person and to which You does not have any right to;
ii. is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another’s privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
iii. harms minors in any way;
iv. is misleading in any way;
v. impersonate any person or entity, or falsely state or otherwise misrepresent Your affiliation with a person or entity;
vi. is patently offensive to the online community, such as sexually explicit content, or content that promotes obscenity, paedophilia, racism, bigotry, hatred or physical harm of any kind against any group or individual;
vii. harasses or advocates harassment of another person;
viii. involves the transmission of “junk mail”, “chain letters”, or unsolicited mass mailing or “spamming”;
ix. promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libellous;
x. infringes any patent, trademark, copyright or other proprietary rights or third party’s trade secrets or rights of publicity or privacy or shall not be fraudulent or involve the sale of counterfeit or stolen items;
xi. contain software viruses or any other computer code, files or programs designed to interrupt destroy or limit the functionality of any computer resource; or contains any Trojan horses, worms, time bombs, cancel bots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data or personal information;
xii. disrupt or interfere with the security of, or otherwise cause harm to, the Website, systems resources, accounts, passwords, servers or networks connected to or accessible through the Websites or any affiliated or linked sites;
xiii. use the Website or Content for any purpose that is unlawful or prohibited by the Agreement, or to solicit the performance of any illegal activity or other activity which infringes the rights of VillagemyCity or other third parties;
xiv. tries to gain unauthorized access or exceeds the scope of authorized access to the Website or to profiles, blogs, communities, account information, bulletins, friend request, or other areas of the Website or solicits passwords or personal identifying information for commercial or unlawful purposes from other users;
xv. solicits gambling or engages in any gambling activity which We, in Our sole discretion, believes is or could be construed as being illegal;
xvi. violates any law for the time being in force;
xvii. deceives or misleads the addressee/ users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
xviii. impersonate another person;
xix. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.
xx. falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded;
xxi. violate any code of conduct or other guidelines, which may be applicable for or to any particular Service;
2. The user shall not use any deep-link, page-scrape, robot, spider or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Website or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Website or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Website.
3. You shall not attempt to gain unauthorized access to any portion or feature of the Website, or any other systems or networks connected to the Website or to any server, computer, network, or to any of the services offered on or through the Website, by hacking, password “mining” or any other illegitimate means.
4. The user undertakes not to attempt to circumvent or modify any security technology or software that is part of the Website. The user also agrees not to use any device, software or routine to interfere, engage or assist any other person, to circumvent or modify any security technology or software that is part of the Website. The user should also not obscure or obstruct any features of the Website. The user undertakes not to copy, modify, create a derivative work of, reverse engineer, decompile or otherwise attempt to extract the source code of the Website or any part thereof without a specific written permission from VillagemyCity to do so.
5. You shall at all times ensure full compliance with the applicable provisions of the Information Technology Act, 2000 and rules there under as applicable and as amended from time to time and also all applicable Domestic laws, rules and regulations (including the provisions of any applicable Exchange Control Laws or Regulations in Force) and International Laws, Foreign Exchange Laws, Statutes, Ordinances and Regulations (including, but not limited to Sales Tax/VAT, Income Tax, Octroi, Service Tax, Central Excise, Custom Duty, Local Levies) regarding Your use of Our service and Your listing, purchase, solicitation of offers to purchase, and sale of products or services. You shall not engage in any transaction in an item or service, which is prohibited by the provisions of any applicable law including exchange control laws or regulations for the time being in force.
6. You may need to install updates that we or any third party introduce from time to time to use the services, Products, Website including downloads and required functionality, such as bug fixes, patches, enhanced functions, missing plug-ins and new versions (collectively, “Updates”). Your use of the Products or Website you have installed requires that you have agreed to receive such automatically requested Updates.
7. You may not use the Website or any content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of VillagemyCity and / or others.
8. You shall not engage in advertising to, or solicitation of, other Users of the Website to buy or sell any products or services, including, but not limited to, products or services related to that being displayed on the Website or related to us.
9. You agree, understand and acknowledge that the Website is an electronic platform in the form of an electronic marketplace and an intermediary that provides an electronic venue where various Users may electronically meet and interact with each other to engage in commerce and transact. You further agree and acknowledge that VillagemyCity is only a facilitator and is not and cannot be a party to or control in any manner any advertisement, exhibition, making available, offer to sell or transactions of sale or purchase of Products on the Website. VillagemyCity is not the seller of the Products. Accordingly, any contract for the sale / purchase of Products on the Website is a bipartite contract between You and the sellers (if You are a buyer) or You and the buyer (if You are a seller). VillagemyCity neither recommends You to buy or sell any Products on the Website nor does VillagemyCity endorses any such Products and nor does VillagemyCity provides any guarantee, warranties or assurance with respect to the advertisement, exhibition, making available, offer to sell or transactions of sale or purchase of Products on the Website. Further, VillagemyCity does not guarantee, warranty or provide any assurance on the behaviour of any User of the Website including any guarantee, warranty or assurance that any User (whether buyer or seller) will complete any transaction or act in a prudent manner.
10. It is possible that other users (including unauthorized users or “hackers”) may post or transmit offensive or obscene materials on the Website and that You may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about You due to your use of the Website, and that the recipient may use such information to harass or injure You. We does not approve of such unauthorized uses, but by using the Website You acknowledge and agree that We are not responsible for the use of any personal information that You publicly disclose or share with others on the Website. Please carefully select the type of information that You publicly disclose or share with others on the Website.
VillagemyCity may charge a fee to post Content in some areas of the Service (“Paid Services”) . The fee permits certain Content to be posted in a designated area of the Platform or in excess of limits set by VillagemyCity. Each party posting Content to the Service is responsible for said Content and compliance with the Terms. Any such fees paid hereunder are non-refundable in the event any Content is removed from the Service for violating these Terms. Paid Services are subject to the Terms listed herein, as well as the additional terms of service, which can be viewed here.
As used herein, the term “Posting Agent” refers to a third-party agent, service or intermediary that offers to post Content to the Service on behalf of others. VillagemyCity prohibits the use of Posting Agents, directly or indirectly, without the express written permission of VillagemyCity. In addition, Posting Agents are not permitted to post Content on behalf of others, directly or indirectly, or otherwise access the Service in order to post Content on behalf of others, except with express written permission or license from VillagemyCity.
Any content that the user posts or material it submits, the user grants VillagemyCity and its affiliates and associates a non-exclusive, royalty-free, irrevocable, perpetual and fully sub-licensable rights to use, reproduce, publish, distribute and display such content throughout the world in any mode medium or manner now known or developed in future; and the right to use the name that the user submits in connection with such content, if the user chooses.
VillagemyCity hereby grants You a non-exclusive, revocable and non-transferable right to view, download and print product catalogues available on the Website, subject to the following conditions :
i. You may access and use the product catalogues solely for personal, informational, and internal purposes, in accordance with these Terms of Use;
ii. You may not modify or alter product catalogues available on the Website;
iii. You may not distribute or sell, rent, lease, license or otherwise make the product catalogues available on the Website available to others; and
iv. You may not remove any text, copyright or other proprietary notices contained in the product catalogues available on the Website.
The rights granted to You in the product catalogues or any other materials as specified above are not applicable to the design, layout or look and feel of the Website. Such elements of the Website are protected by intellectual property rights and may not be copied or imitated in whole or in part.
Any software that is available on the Website is the property of VillagemyCity or its vendors. You may not use, download or install any software available at the Website, unless otherwise expressly permitted by the Agreement or by the express written permission of VillagemyCity.

VillagemyCity shall exercise all reasonable commercial efforts to continue to perform its obligations hereunder.
